Alan Richard (“Rick”) Sachs, “Of Counsel” to Rosenberg Martin, is recognized as one of the most prominent corporate, securities and general business lawyers in Maryland. He is listed as one of the Best Lawyers in America, Securities Law, publshed by Woodward and White. In addition to representing entrepreneurs in the formation and organization of their diverse business and commercial enterprises, Mr. Sachs has organized corporations and has formed general and limited partnerships and limited liability companies in countless commercial contexts. He has represented these entities, both private and public, in connection with their operations and sale and with their acquisition of other business entities, through tender offer, merger, outright purchase, acquisition of assets and by other means. Mr. Sachs has served as bond counsel to both Baltimore County, Maryland and Ocean City, Maryland and has overseen the successful sale of more than $100 million in general obligation and industrial development revenue bonds. Mr. Sachs has organized, represented and advised, on an on-going basis, several of Maryland’s largest independent certified public accounting firms and their principals, and he is consulted by numerous other attorneys in complex corporate, partnership, securities, and commercial transactions. He has represented one of Maryland's largest banks in connection with matters arising out of the bankruptcy and insolvency of its borrowers and the "work-out" of troubled loans with borrowers in default under various loan transactions; he has also represented debtor companies and individuals in the restructuring and "work-out" of their defaulted loans and troubled creditor relationships. Mr. Sachs’ practice has also included the representation of numerous investment advisors in connection with their initial incorporation, capitalization and registration with the Securities and Exchange Commission (“SEC”) and the Maryland Division of Securities, and with their subsequent compliance with applicable SEC and state law requirements. He has represented public companies in the registration and public sale of their securities and all other aspects of corporate law and compliance with the regulations of the SEC. Mr. Sachs has also served on the Maryland Blue Sky Advisory Commission. Mr. Sachs has served as an expert witness in complex commercial litigation, as an Arbitrator for the National Association of Securities Dealers, Inc. and as a Maryland Health Claims Arbitrator. He has served as Chairman of the Section of Business Law of the Maryland Bar Association; Chairman of the Securities Law Committee of the Section of Business Law of the Maryland Bar Association; and as Chairman of the Securities Law Subcommittee of the Small Business Committee of the Section of Business Law of the American Bar Association. He has taught Commercial Law at the University of Maryland School of Law for nearly a decade and at the University of Baltimore School of Law for almost 20 years. In addition to numerous articles he has written and lectures he has given, Mr. Sachs is the author of Maryland Corporate Forms, a three-volume work on Maryland corporate law and practice, and Securities Forms: Practice and Compliance, a three-volume book on federal securities law and practice. Mr. Sachs is a graduate of the University of Maryland School of Law, where he was elected to the Order of the Coif and served on the Editorial Board of the Maryland Law Review.
